We are the leading provider of progressive proxy solicitation and contemporary corporate governance advisory services. Our team supports clients undergoing events such as AGMs, EGMs and M&A, which demand optimised shareholder approval.

Critical to Boudicca's success and the ongoing growth of the business is the delivery of Boudicca's Proxy and Corporate Governance services to its clients. The primary responsibility of this role will be to oversee the Operations Team and contribute to the delivery of Boudicca's Proxy and Corporate Governance services to its clients.

Core Duties/Responsibilities

The successful candidate will be responsible for leading, executing and managing live projects on behalf of our clients, ranging from large issuers to small institutional shareholders. Engagements will be a varied nature, from providing advice on the long-term corporate governance of an issuer, to last-minute vote-chase in a proxy fight. This will include including providing timely and accurate reporting and research to our clients.

Operations

  • Setting up, executing and managing timetables, proxy solicitation and related campaigns
  • Engaging/communicating with all levels of shareholders (institutional and individuals)
  • Drafting scripts and Q&As and other documents relating to projects
  • Formulating client reports and other reports/research
  • Liaising with and reporting to the client as well as its advisers (at board level as well as company secretarial, investor relations, c-suite, bankers, brokers, lawyers etc.). At any one time it is likely that Boudicca will be engaged in more than one campaign

Campaign Management

  • Communicating verbally and in writing with a variety of parties (directors, large and small shareholders, institutional analysts);
  • Conducting proxy- and governance-related research;
  • Preparation of informed research, detailed analyses, reports and briefing materials for clients with references to prevailing best practice;
  • Drafting communication materials for targeting shareholders to meet client and regulatory requirements;
  • Taking notes / minutes at meetings and conference calls, and document processes, procedures and policies
  • Key Relationships (internal & external) - BU clients, advisers and data providers/ EQ Boardroom business units
  • Decision remit will include research, data collection, trend analysis, insight methods and project support.

Skills, qualifications, knowledge and mobility.

  • 6 months-1 years' experience of proxy solicitation, proxy voting, corporate actions, corporate governance or investor relations (Highly Desirable but not essential)
  • Have excellent data management and processing skills in the support of preparing and building from Share Register analysis and Excel-based data delivery
  • Excellent communication skills; capable of influencing and motivating both internally and externally
  • Strong organisation and analytical skills; able to think through complex business issues in a focused, clear and effective manner
  • A proactive and hands-on attitude alongside the resilience to get things done quickly in challenging circumstances
  • A facilitative approach; enjoys operating as part of a team and proactively builds relationships across the business;
  • The interpersonal skills associated with working with an experienced and high-quality professional
  • The personal impact to set the appropriate tone and get to the core of issues quickly
  • Have demonstrable knowledge and experience of listed Corporate Governance and compliance matters to be a credible and confidence-inducing adviser to clients
  • Previous working experience and/or clear demonstrable knowledge of corporate actions, governance and best and market practice
